CORPORATE GOVERNANCE REPORT Rex International Holding Limited 113 All newly appointed Directors will undergo an orientation programme where the Director would be briefed on the Group’s strategic direction, governance practices, business and organisation structure, and participate in an external course detailing the expected duties of a director of a listed company. To get a better understanding of the Group’s business, the Directors will also be given the opportunity to visit the Group’s operational facilities and meet with Management, whenever required. A new Director who has no prior experience as a director of an issuer listed on the SGX-ST must also undergo mandatory training in his or her roles and responsibilities as prescribed by the SGX-ST. All Directors are required to undergo a one-time training on sustainability. All Directors have not been on the Company’s board for more than four years. Except for Ms Mae Heng and Mr Pong Chen Yih, the rest of the Directors of the Company did not have prior experience holding directorship(s) in public listed companies in Singapore. These Directors have all participated in the Listed Company Director courses conducted by the Singapore Institute of Directors (the “SID”) within a year of their respective appointment. Directors are also regularly updated with the latest professional developments in relation to the Listing Rules and other applicable regulatory updates or amendments to relevant laws, rules and regulations to ensure the compliance of the same by all Directors.
